Teva Pharmaceutical Industries Ltd. (Nasdaq: TEVA) and Aventis Pharmaceuticals Inc., the U.S. pharmaceutical company of Aventis Pharma AG, announced today that Teva Marion Partners will become a wholly-owned subsidiary of Teva and will be renamed Teva Neuroscience LLC. The agreement establishes Teva Neuroscience as the flag bearer for marketing Teva's neurological products in North America.
Teva Marion Partners was formed in 1995 as an equally owned marketing partnership between Teva and Marion Merrell Dow, a predecessor company of Aventis Pharmaceuticals, to promote COPAXONER (glatiramer acetate for injection) in North America. Today's announcement is part of a larger restructuring agreement involving both North American and European collaborations between the two companies.
"Teva Marion Partners has had tremendous success marketing COPAXONER in the United States and Canada. In the United States, COPAXONER has become the second leading multiple sclerosis product. I'm confident that Teva Neuroscience will leverage the success with COPAXONER to create a fully integrated proprietary pharmaceutical company in North America," explained Eli Hurvitz, president and chief executive officer of Teva.
The successful cooperation between Teva and Aventis, which made COPAXONER the fastest-growing multiple sclerosis therapy in North America, will continue. Aventis will continue to distribute COPAXONER in North America and receive a revenue stream from the sales of COPAXONER through 2008. Aventis retains the rights in North America to distribute an oral formulation of CopaxoneR, which is currently in Phase III clinical studies.
"This agreement allows us to continue the way we work with Teva Neuroscience regarding COPAXONER in the short term and benefits both companies longer term," said Gerald P. "We will continue to receive revenue from the sales of COPAXONER similar to the terms of the previous agreement and the non-compete clause will be removed, enabling Aventis Pharmaceuticals to pursue independent central nervous system opportunities."
The current leadership of Teva Marion Partners will remain intact, led by Larry Downey, president and chief executive officer. The company's North American headquarters will remain in Kansas City, Mo. The operation in Canada, headquartered in Montreal, remains under the leadership of John Hassler.
